Disclosure proof is a quote-time record

Override and commission disclosure proof means your brokerage can show — from the client file — that compensation and related conflicts were explained no later than the quote, not reconstructed months later during a RIBO inquiry.

RIBO’s Mandatory Disclosures guidance (RIBO-002; in force October 1, 2024) consolidates timing expectations that already flow from Reg. 991 and the Code of Conduct Handbook: disclose before purchase, no later than the time of quote, provide written confirmation of the discussion (drawn specifically to the client’s attention), and retain records for inspection.

Overrides appear in RIBO’s commission-disclosure FAQ language alongside contingent profit commissions and related structures. Separately, book-transfer “override” fees have long been treated like fees that must be fully disclosed (and reasonable) before the service — Reg. 991 subsection 14(8) themes. Your principal broker and compliance materials define how to word that for each placement.

Why post-bind documentation fails reviews

Common gaps principal brokers see:

  • Disclosure form signed at bind but the quote was two weeks earlier
  • Override or CPC-eligible placement with no file note about compensation discussion
  • CSR bound while producer had the compensation conversation — note never transferred
  • Quote-only phone call with no quote-only interaction documentation or follow-up written confirmation

RIBO spot checks look for contemporaneous records. Reconstructing from memory is not a strategy.

A practical documentation workflow

  1. Attach disclosure checklist to new-business intake — disclosure items before bind items
  2. Collect signed acknowledgement (if your forms use one) through secure upload on the client record
  3. Log quote-time conversations — file note, email confirmation, and/or voice note reviewed for accuracy
  4. CSR handoff — co-agent sees disclosure status before binding
  5. Export package — PDF for principal review or spot-check prep

At binding, RIBO guidance also expects clients to receive a written summary of disclosures already given. Renewals need disclosure when new conflicts arise after issue.

Frequently asked questions

When must commission disclosures happen?
Per RIBO mandatory-disclosures guidance: as soon as possible, before the client agrees to purchase, and no later than the time of quote (and on renewals when new conflicts arise). Post-bind-only documentation is weak if a complaint or spot check asks what the client knew at quote.
What counts as proof?
RIBO points to client-file records such as notes, emails, BMS entries, and/or audio recordings that show disclosures were made, plus written confirmation drawn to the client’s attention. Signed acknowledgements help when your brokerage uses them — follow principal-broker forms.
Do override arrangements need separate documentation?
RIBO FAQs and the Commission Disclosure Protocol treat overrides alongside other compensation structures that must be disclosed. Reg. 991 also restricts accepting fees whose basis was not fully disclosed before the service. File what your brokerage disclosed about how it is compensated for that placement.
Can document collection software replace RIBO compliance?
No. Software organizes records on the client file. Your brokerage still sets disclosure scripts, Commission Disclosure statements, and principal oversight.
